Terms of Service

The short version: You get access to Axis for the subscription you pay for. Your data is yours. We provide the service with reasonable care. Neither party is liable for indirect losses. Either party can end the relationship with notice.

By creating an account or using the Service, you agree to these Terms on behalf of your organisation. You confirm that you have authority to bind your organisation to these Terms.

These Terms form a legally binding agreement between Axis and the Customer. If you do not agree, do not use the Service.

3. The Service

3.1 Provision

Axis will provide the Service in accordance with the plan the Customer has subscribed to, as described at axishq.app/pricing. We will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, excluding scheduled maintenance windows.

3.2 Plan limits

Each Subscription tier includes defined limits on staff in plan, active projects, and feature access. Current limits are published at axishq.app/pricing. If the Customer exceeds the limits of their current plan, Axis will notify them and invite an upgrade. We will not automatically charge for overages without prior notice.

3.3 Service changes

Axis may modify, update, or discontinue features of the Service with reasonable notice. For material changes that reduce functionality, we will give at least 30 days' notice and, where applicable, offer a pro-rata refund for the affected period.

3.4 Uptime

Axis targets 99.5% monthly uptime for the core platform, excluding scheduled maintenance. Scheduled maintenance will be communicated at least 24 hours in advance and will be performed outside peak business hours (09:00–18:00 Monday–Friday, UK time) where possible.

Where the Customer enters personal data about individuals (such as staff members' names and work information), the Customer is responsible for ensuring it has a lawful basis to do so and has informed those individuals appropriately.

5. Customer Data

5.1 Ownership

Customer Data belongs to the Customer. Axis claims no ownership over it. We process Customer Data solely to provide the Service.

5.3 Data Processing Agreement

For customers subject to GDPR, these Terms incorporate a Data Processing Agreement (DPA). Axis acts as a data processor; the Customer acts as data controller for personal data entered into the Service. Our full DPA is available on request at hello@axishq.app.

5.4 Data on termination

Upon termination or expiry of a Subscription, Customer Data will be retained for 90 days during which the Customer may request an export. After 90 days, Customer Data will be permanently deleted. Axis will confirm deletion in writing upon request.

6. Fees and payment

6.1 Subscription fees

Fees are as published at axishq.app/pricing at the time of subscription, or as agreed in a custom order form for Enterprise customers. Fees are charged monthly or annually in advance, depending on the billing cadence selected.

6.2 Payment

Payment is processed by Stripe. By subscribing, you authorise Axis to charge the payment method on file at each renewal date. All fees are exclusive of taxes, which will be added where applicable.

6.3 Fee changes

Axis may change subscription fees with 60 days' written notice. Fee changes will take effect at the Customer's next renewal date. If the Customer does not accept a fee change, they may cancel before the new fees take effect.

6.4 Refunds

Monthly subscriptions are non-refundable. Annual subscriptions cancelled within 14 days of the annual renewal date are eligible for a pro-rata refund for the unused portion of the year. No refund is available after 14 days of an annual renewal.

6.5 Non-payment

If payment fails, Axis will notify the Customer and attempt to retry. If payment remains outstanding after 7 days, access to the Service may be suspended. After 30 days of non-payment, the Subscription may be terminated and Customer Data scheduled for deletion per section 5.4.

7. Ask (AI feature)

The Ask feature uses Anthropic's API to process queries about your organisation's resource data. By enabling and using Ask, the Customer acknowledges that:

8. Intellectual property

Axis retains all intellectual property rights in the Service, including software, design, documentation, and trademarks. These Terms do not transfer any IP rights to the Customer.

The Customer grants Axis a limited, non-exclusive licence to process Customer Data for the purpose of providing the Service.

Feedback or suggestions provided by the Customer may be used by Axis to improve the Service without obligation or compensation.

9. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law. Customer Data is the Customer's confidential information. Axis's pricing, technical architecture, and non-public product information is Axis's confidential information.

Confidentiality obligations survive termination of these Terms for 3 years.

10. Warranties and disclaimers

Axis warrants that it will provide the Service with reasonable care and skill and in accordance with these Terms.

The Service is provided "as is" beyond this warranty. Axis does not warrant that the Service will be error-free, uninterrupted, or meet any specific requirements beyond those described in these Terms. Axis is not responsible for decisions made based on information provided by the Service, including Ask responses.

11. Limitation of liability

To the maximum extent permitted by law:

These limitations do not apply to liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.

Nothing in these Terms limits the Customer's obligation to pay fees properly due.

12. Indemnity

The Customer will indemnify Axis against claims arising from: (a) the Customer's use of the Service in breach of these Terms; (b) Customer Data that infringes a third party's intellectual property rights; or (c) the Customer's failure to comply with applicable data protection law.

13. Term and termination

13.1 Term

These Terms begin when the Customer creates an account and continue until the Subscription is terminated.

13.2 Termination by the Customer

The Customer may cancel their Subscription at any time through the Billing page in the platform or by contacting hello@axishq.app. Cancellation takes effect at the end of the current billing period. No pro-rata refund is provided for monthly subscriptions.

13.3 Termination by Axis

Axis may terminate the Customer's Subscription with 30 days' written notice for any reason, or immediately if the Customer: materially breaches these Terms and fails to remedy the breach within 14 days of notice; becomes insolvent or ceases trading; or uses the Service for unlawful purposes.

13.4 Effect of termination

On termination, the Customer's access to the Service ceases. Customer Data is retained for 90 days per section 5.4. Provisions of these Terms that by their nature should survive termination will do so, including confidentiality, intellectual property, and limitation of liability.

14. Governing law and disputes

For customers based in the United Kingdom or European Economic Area: these Terms are governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.

For customers based in Australia or elsewhere: these Terms are governed by the law of New South Wales, Australia, and subject to the non-exclusive jurisdiction of the courts of New South Wales.

Before commencing formal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.
